Terms of Service

This English version is a translation provided for convenience. The Thai version is the legally binding text; if the two differ, the Thai version prevails. Questions: support@navaseller.com.

This document is a legal agreement between you (as a user of Nava's services, including both shop owners and authorized shop staff) and Nava. By signing up for the service, you agree to accept these terms. If you do not accept them, please do not sign up for the service, or stop using the service immediately.

1. Services Nava provides

Nava is a mobile back-office system (SaaS) for online sellers in Thailand that provides the following tools:

  • Receive orders from LINE OA chats and Nava storefront links (other channels, such as Facebook Messenger, are added as they open)
  • Automatically generate a PromptPay QR code for every order
  • Verify payment slips against actual bank data through a third-party provider connected to bank data
  • Manage products, stock, customer history and sales statistics
  • An online storefront link that sellers share with their customers

2. Money and payments

Key principle: Nava does not hold customers' money and is not a payment intermediary. Money that customers pay via a PromptPay QR code generated by Nava goes directly into the merchant's PromptPay bank account. Nava does not take a percentage of sales and does not deduct any fee from the amounts customers transfer to the shop.

Nava is responsible only for generating QR codes that comply with the EMVCo/PromptPay standard and for verifying slips based on the data it receives from third-party providers. Nava is not a financial institution, is not licensed to operate a payment business, and has no responsibility for transfers of money made directly between customers and merchants.

You acknowledge and agree that Nava only generates QR codes and helps verify slips. Nava does not receive, hold, transfer or take possession of buyers' money under any circumstances. Responsibility for money transferred by customers, for refunds, and for financial disputes between you and your customers rests with you and your bank.

3. Fees and billing

Nava offers two plans, VAT included: Starter at ฿299 per month or ฿2,990 per year, and Pro at ฿990 per month or ฿9,900 per year. Current pricing and each plan's features are shown on the /pricing page; those are the prices in effect at the time you sign up. The Pro plan can be paid for from 1 January 2027; for a shop still in the pilot, paid Pro time starts when the pilot ends (1 February 2027), so it never pays for days that are free.

Each plan includes a number of orders paid by customers per calendar month (Thailand time): 500 on Starter and 2,000 on Pro. Unpaid, cancelled or expired orders do not count. Slip checks, chat and AI are not charged separately. If a shop goes over its included orders, Nava will not stop it taking orders during the month, but may let you know and offer a suitable plan for the next billing period.

During the pilot before the public launch (until 31 January 2027), invited shops may use the Pro plan's features that are already available at no extra cost. When the pilot ends, a shop uses the plan it pays for. Nava will give at least 30 days' notice.

Before the public launch (February 2027), Nava is open only to shops invited from the waitlist. Shops whose account is opened before the public launch (founding sellers) and subscribe monthly pay ฿99 per month for their first 12 months (with PromptPay, also as a single 12-month payment of ฿1,188), then the regular ฿299 per month. Founding sellers who choose Pro pay ฿499 per month for their first 12 months on Pro (with PromptPay, also as a single 12-month payment of ฿5,988), then the regular ฿990 per month.

You can pay in two ways: (1) by card, charged automatically every period until you cancel; or (2) by PromptPay, where you pay a bill for 1 month or 12 months at a time by scanning a QR code and attaching the slip — nothing is charged automatically. Nava reminds you before your paid time ends; paying early adds on to the time you have already paid for; if you do not pay the next bill, your plan simply ends when its paid time runs out, at no further cost.

After the trial period, Nava will charge a monthly service fee according to the plan you choose. You may cancel, change plans or downgrade at any time on the Settings page, and you will not be charged for the next billing cycle. Moving up to Pro takes effect as soon as it is paid, and any days left on Starter continue as Pro days. Moving back to Starter takes effect when the paid Pro period ends, so paid Pro days are not lost. Fees already paid for the current cycle are not refunded on a pro-rata basis, except where Nava unilaterally stops providing the service.

Nava may change its prices in the future. If it does, Nava will give you at least 30 days' advance notice by email to the address you registered. You have the right to cancel at no cost before the new price takes effect.

4. Free trial and cancellation

Invited shops may try Nava free for 14 days without providing credit card details (once per shop). At the end of the trial, if you wish to continue using the service, you must choose a payment method and confirm your subscription.

You may cancel the service at any time from the Settings page in the system. Cancellation takes effect immediately for the next billing cycle. You will still be able to use the features until the end of the current billing cycle you have already paid for.

Even after you cancel the service, you can still export your customer list, order history and other shop data for at least 90 days after cancellation.

5. User eligibility and acceptable use

You confirm that you are at least 20 years of age, or have obtained the consent of your legal representative, and that you have the legal authority to operate the business in which you use Nava to provide services.

You agree not to use Nava to:

  • Sell goods or services that are illegal under Thai law
  • Deceive, defraud, or violate the rights of customers or other persons
  • Send spam, harassing messages, or unlawful content
  • Attempt to hack, reverse engineer, or affect the stability of Nava
  • Launder money or engage in unlawful financial activities
  • Impersonate another person or provide false information when signing up

6. Your responsibilities as a seller

You are the Data Controller of your own shop's customer data under the PDPA. Nava is the Data Processor that provides the tools.

You sell goods or services directly to your customers. Nava is not a party to any sale between you and your customers. You agree to indemnify, defend and protect Nava against third-party claims, lawsuits, costs and damages arising from your products, your shipping, your refunds, content you create in the system, or the actions of your staff.

You must:

  • Provide accurate and up-to-date information when signing up (shop name, phone number, PromptPay, address)
  • Keep your Nava account secure. Do not share your password or OTP with anyone else.
  • Store and use customer data as required by the PDPA
  • Check and confirm that each order is correct before marking it as 'Paid' or shipping the goods (even though Nava helps verify slips automatically)
  • Comply with applicable Thai laws, such as tax laws and consumer protection laws

7. Limitation of Nava's liability

Nava provides the service 'as is'. Although Nava makes every effort to provide the service to the best of its ability, Nava does not guarantee that the service will be free of errors or interruptions at all times. Automatic slip verification through a third-party provider connected to bank data is an aid, not a guarantee. You remain responsible for the final check before shipping goods.

Where Nava is liable under law, Nava's maximum liability to you for any one matter will not exceed the total service fees you paid to Nava in the 6 months before the incident occurred. Nava is not liable for indirect damages, loss of profits or loss of business opportunities.

8. Intellectual property rights

The Nava brand, logo, software and all design content of the platform are the property of Nava. You are granted a right to use them to operate your business for the duration of your subscription.

Product photos, customer data, text and other content that you upload or create in Nava remain yours. Nava uses that content only to provide the service under these terms and in accordance with the Privacy Policy.

9. Suspension or termination of service by Nava

Nava reserves the right to suspend or terminate your account if it finds that:

  • The service has been used for an improper purpose or in breach of Section 5 (Acceptable use)
  • False or deceptive information was provided when signing up
  • Service fees remain unpaid more than 30 days past the due date
  • A government authority has issued an order, or a court has issued a judgment, requiring suspension

10. Changes to these terms

Nava may update these terms from time to time. If there is a material change, Nava will give you at least 30 days' advance notice by email to the address you registered and will display a notice in the system. Your continued use of the service after the change is deemed to be your acceptance of the new terms.

11. Governing law and disputes

These terms are governed by the laws of Thailand. If a dispute arises, the parties will first try to negotiate in good faith. If they cannot reach agreement, the dispute shall be submitted to a Thai court of competent jurisdiction.

12. Severability

If a court or competent authority rules that any provision of these terms is unenforceable, the remaining provisions of these terms continue in full force and effect. The parties will try to replace the unenforceable provision with a provision of similar intent that is valid under the law.

13. Assignment

You may not assign your rights or obligations under these terms to any other person without Nava's written consent. Nava may assign its rights under these terms to an affiliated company or to a transferee of its business, and will give you reasonable advance notice.

14. Contact Nava

If you have any questions about these terms, you can contact Nava at support@navaseller.com or see other contact channels on the /contact page.
